1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AK DONKEYHOST, a registered trade name of Proadco Expert Software | Proadco Limited (HE 68072), with registered office at Arch. Makariou III 137 & Papadiamanti 2, 3021 Limassol, Cyprus, VAT: CY10068072T ("DonkeyDocs," "we," "us," or "our") concerning your access to and use of the DonkeyDocs document management platform at docs.donkeyhost.com.

By registering for an account, purchasing a subscription, or using our platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.

These Terms are governed by the laws of Cyprus and the European Union. Nothing in these Terms affects your statutory rights as a consumer under EU law, including mandatory consumer protection rules of your country of habitual residence (Regulation (EC) 593/2008, Article 6(2)).

2. Service Description

DonkeyDocs is a cloud-based document management system ("Service") that provides:

Document storage: Secure cloud storage backed by Amazon S3 (EU data center)
AI classification: Automatic document type detection, metadata extraction, and text recognition
Search: Full-text and AI-powered semantic search across your documents
AI chat: Natural language queries about your document content
Team access: Multi-user access with role-based permissions
Audit logging: Activity tracking for compliance purposes

All data is stored on AWS infrastructure in the European Union (eu-central-1). Features and storage allocations are subject to your subscription plan.

3. Account Terms

3.1 Account Creation

You must be at least 18 years old to create an account
You must provide accurate, current, and complete information during registration
You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized use of your account

3.2 Account Security

You are solely responsible for securing your account. We recommend using strong passwords. DonkeyDocs is not liable for any loss or damage arising from your failure to maintain account security, except where caused by our negligence.

4. Pricing and Payment

4.1 Subscription

DonkeyDocs is available at EUR 30 per month per company. This includes unlimited users and 1TB of storage. Additional storage may be purchased separately.

4.2 Billing

Subscriptions are billed monthly via Stripe. All prices are in EUR and exclude applicable taxes (VAT).

4.3 Free Trial

We offer a 14-day free trial. No credit card is required to start a trial. At the end of the trial, you must subscribe to continue using the Service.

4.4 Cancellation

You may cancel your subscription at any time from your Settings page. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing period.

4.5 Right of Withdrawal (EU Consumers)

Under the EU Consumer Rights Directive (2011/83/EU), you have the right to withdraw from your purchase within 14 days without giving any reason. To exercise this right, contact us at info@donkeyhost.com. If you have used the Service during the withdrawal period, you may be charged proportionally for the period of use.

5. Your Documents and Data

5.1 Ownership

You retain full ownership of all documents and data you upload to DonkeyDocs. We do not claim any intellectual property rights over your content.

5.2 License to Process

By uploading documents, you grant us a limited license to process your content solely for the purpose of providing the Service — including AI classification, text extraction, search indexing, and generating embeddings. We do not use your documents to train AI models.

5.3 Backups

While we take reasonable measures to protect your data (including S3 durability and encrypted storage), you are responsible for maintaining your own backups. We are not liable for data loss except where caused by our negligence.

5.4 Data After Termination

Upon account deletion, your documents and data are permanently deleted within 30 days. AI-generated metadata and search indexes are deleted immediately. Audit logs are anonymized and retained for 7 years per Cyprus tax law.

6. Acceptable Use

You agree not to:

Upload content that is illegal, harmful, or violates the rights of others
Use the Service to store or distribute malware
Attempt to access other users' accounts or data
Use automated tools to scrape or overload the Service
Resell or sublicense the Service without written permission

Violation may result in immediate account suspension or termination.

7. AI Processing

DonkeyDocs uses third-party AI services (including OpenAI, Google Gemini, and Anthropic Claude) to classify documents and extract metadata. When you upload a document:

Document text is sent to AI providers for classification and metadata extraction
AI providers process the text under their own data processing agreements with us
We do not allow AI providers to use your data for training purposes
AI processing results are stored within our EU infrastructure

8. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance where possible. We are not liable for service interruptions caused by factors beyond our control, including but not limited to AWS outages, internet connectivity issues, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by applicable law, DonkeyDocs' total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. This limitation does not apply to liability that cannot be excluded under applicable law (including EU consumer protection law).

10. Data Processing

When you upload documents containing personal data of third parties (e.g., client records, employee files), you act as the data controller and DonkeyDocs acts as the data processor under GDPR Article 28.

We process such data solely on your documented instructions, implement appropriate technical and organizational measures, and assist you in fulfilling your GDPR obligations. A separate Data Processing Agreement (DPA) is available upon request at info@donkeyhost.com.

11. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree, you may cancel your subscription.

12. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Cyprus. Any dispute arising from these Terms or the Service shall be resolved by the competent courts of Limassol, Cyprus, without prejudice to your right as an EU consumer to bring proceedings in the courts of your habitual residence.

If you are an EU consumer, you may also use the EU Online Dispute Resolution platform.
